Michael B. Jones
Michael is President of ProFinance™ Associates, Inc., an investment banking firm (Broker-Dealer firm – member of the N.A.S.D./S.I.P.C.)
headquartered in San Diego. ProFinance provides M & A and financing advisory services to companies in high gross margin, repetitive income
service industries, and to specialty finance companies. ProFinance has provided services to companies in industries as diverse as energy,
healthcare, Internet, security, “service bureaus” of various kinds, and telecom. The electronic security industry has been an area of specialization
for ProFinance since its inception in 1985. ProFinance is the originator and Michael is Chair of the Securing New Ground™ conference
(www.securingnewground.com), the leading information and networking conference focused on the electronic security field in the U.S.   ProFinance
is also co-founder and Michael is Chair of The Security Network (www.thesecuritynetwork.org), a San Diego-based organization to identify and
promote the rapid adoption of innovative, dual-usage security technologies and to function as a national / international test bed for the security
field.

Michael is a registered principal and a registered general securities representative with ProFinance. Michael has sat on a number of corporate
Boards of Directors.   In San Diego, Michael sits on the Advisory Board of the Entrepreneurial Management Center (EMC) and the Advisory Board
for the Colleges of Engineering and Sciences, and lectures periodically in the Business School at SDSU.

Michael was born in Germany and grew up in Arizona. Michael earned a Masters Degree from the Johns Hopkins University “School of Advanced
International Studies” (SAIS). His graduate studies included a year in Bologna, Italy; a year at the Catholic University in Lima, Peru; and
internships at the International Atomic Energy Agency in Vienna and at the European Community headquarters in Brussels. He speaks five
languages.

William M. Lynch
Bill was raised on a large family irrigated farm and ranch in west Texas at the foot of the Guadaloupe Mountains. He graduated from the School of
Business Administration at Menlo College in Atherton, California with a B.S. in Business Administration in 1984 and awarded The Wall Street Journal
Award.

He has operating experience in software and industrial businesses. At Noumenon Corporation in Alameda, California he worked in various sales
and marketing capacities before being appointed Vice President, Sales. Noumenon Corporation was a developer of Intuit™, an integrated business
software package for IBM PCs.

In 1986, he joined United States Gypsum Company’s Industrial Gypsum Division. This unit manufacturers and markets exceptionally high value
gypsum products serving a broad spectrum of manufacturing industries, including aerospace, pharmaceuticals, plastics, agriculture, and
ceramics. He moved through various line sales assignments before being promoted to Sales Manager responsible for a team of sales
professionals serving the Pacific Southwest. Bill was promoted to Product Marketing Manager in 1992 and relocated to Chicago assuming brand
and product management responsibility for a calcined gypsum product line.   He was promoted to Area Marketing Manager, West in 1995 and
relocated to San Diego. He was charged with responsibility for all marketing, sales, distribution, capital planning, and general business
management of the Industrial Gypsum Division for the western United States. In addition to his domestic management responsibility, Mr. Lynch
led strategic planning for the ultimate expansion of plaster operations in Mexico. He has strong marketing, sales, distribution, operations, and
strategic planning skills.

Bill joined ProFinance® Associates, Inc. in February 1999 to service and assist clients in arranging various forms of equity and debt financing as
well as facilitating M&A while focusing on service businesses in the Southwestern United States and security businesses nationally. He serves on
the Board for MIT Enterprise Forum San Diego. Bill is a registered representative with the National Association of Securities Dealers.
